Terms of Service
These Terms of Service (“Terms”) govern your use of Miclody at http://165.245.197.120 and any related apps and services (together, the “Service”), operated by Miclody (“Miclody”, “we”, “us”). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility and accounts
You must be at least 16 years old, or the age of digital consent where you live, to use the Service. You are responsible for your account credentials and for all activity under your account. Give us accurate information and keep it up to date.
2. What the Service does
Miclody lets you create original music with AI tools, prepare releases, distribute them to third-party platforms, and, where eligible, receive a share of revenue that Miclody collects when videos use your distributed tracks. Features, credits and limits depend on your plan.
3. Plans, billing and renewals
Paid plans are billed in advance on a monthly or yearly basis through our payment processor, Stripe. Subscriptions renew automatically at the end of each billing period until cancelled. Prices may change; we will tell you before a change applies to your next renewal. Unused credits do not roll over unless your plan says otherwise. Cancellations and refunds are covered by our Refund & Cancellation Policy.
4. AI-generated music and your content
You keep any rights you have in the prompts, lyrics, audio and artwork you provide (“Your Inputs”). Subject to these Terms and your plan, Miclody grants you rights in tracks generated for you (“Outputs”) as described in your plan and at the point of release. Because AI systems can produce similar results for different users, Outputs may not be unique, and we cannot guarantee that an Output is free of third-party claims. You are responsible for making sure Your Inputs and releases do not infringe anyone else’s rights.
You grant Miclody a worldwide, non-exclusive, royalty-free licence to host, process, reproduce and transmit Your Inputs and Outputs as needed to run the Service, deliver your releases and collect revenue on your behalf. We may use de-identified inputs and outputs to operate, secure and improve the Service.
5. Distribution to third-party platforms
When you release a track, you authorise Miclody to deliver it to the platforms you choose and to act as your distributor for that release. Each platform decides whether to accept, monetise, remove or restrict content under its own policies. Miclody does not control third-party platforms and is not responsible for their decisions, outages or reporting.
6. Revenue share
For eligible video uses of your distributed tracks, Miclody assigns 50% of the revenue it actually receives for those uses to your creator balance, as set out in the Creator Revenue Share Terms. Not every use is detected or eligible, and earnings are never guaranteed.
7. Acceptable use
You must follow our Acceptable Use Policy. We may remove content, withhold payouts connected to violating content, or suspend accounts that break it.
8. Our intellectual property
The Service, including its software, design, brand and documentation, belongs to Miclody and its licensors. These Terms do not give you any right to use our name, logos or trademarks.
9. Copyright complaints
We respond to notices of alleged infringement as described in our Copyright & DMCA Policy.
10. Suspension and termination
You may stop using the Service and cancel at any time. We may suspend or end your access if you breach these Terms, if required by law, or to protect users, partners or the Service. On termination we may take down active releases after a reasonable notice period, and amounts properly owed to you will be handled under the revenue share terms.
11. Disclaimers
The Service is provided “as is” and “as available”. To the fullest extent allowed by law, we disclaim all warranties, including merchantability, fitness for a particular purpose and non-infringement. See also our Disclaimer.
12. Limitation of liability
To the fullest extent allowed by law, Miclody will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim. Some jurisdictions do not allow these limits, so they may not apply to you.
13. Indemnity
You agree to indemnify Miclody against claims arising from Your Inputs, your releases or your breach of these Terms.
14. Governing law
These Terms are governed by the laws of Pakistan. Disputes will be resolved in the courts of Lahore, Pakistan, unless the law where you live gives you the right to bring proceedings locally.
15. Changes
We may update these Terms. If a change is material we will notify you by email or in the Service before it takes effect. Continuing to use the Service after that means you accept the updated Terms.
